Hereinafter “Client” referred to owner of business whom EHV Consultants, LLC provided consultation
1. Quotation
The quotation given during your consultation is valid for fourteen (14) days from consultation date.
The figures in the quote are minimum estimates for the project – the final amount payable will be indicated on our invoices issued in the course of this project, taking into account factors including rush fees, add-ons, and any changes to the project scope (all of these are explained below). If there’s no change to the project scope, it is unlikely that the final amount payable will differ greatly from our estimate.
2. Project Schedule
We will do our best to meet the client’s project deadline as discussed during consultation. ability to hold project timelines is dependent upon the client submitting required (process suggestions/digital assets/log-in credentials) necessary and in the order that we need it.
Missed deadlines can result in delayed or possible project incompletion without a refund. You or your project manager (team) are required to review our request, work, and/or work schedule and provide feedback or submissions by requested date and times of the request. Delaying asset deliverables will result in no guarantee for revisions and/or project completion.
3. Payment Schedule And Invoices
PAYMENT SCHEDULE AND INVOICES
The client agrees to the payment/service fee discussed during consultation. Client is responsible for any all bank charges, bank fees and other costs in associated with insufficient payment submittal to us.
4. Amendment To Work
We provide two (2) rounds of revisions to our work at no extra charge, as long as the change request does not substantially alter the original project scope, nature or purpose; and as long as you have not already given us your final approval for the piece of work concerned. Any other amendments are considered a change in the project scope overall, which is explained in Section 7 below.
5. Cancellation
You can cancel this contract at any time, by informing us in writing at least seven(7) days in advance of the project start date minus our administration fee.
If client wishes to cancel after project has started, work will immediately seize and no refunds will be rendered. The client will have the option to reschedule project at next scope of work in alignment with our work calendar. Please be mindful your project could be delayed by weeks.
Likewise, we have the right to cancel this contract any time, by informing you in writing at least seven(7) days in advance if there is a power outage due to inclement weather conditions, severe illness, death in family, repeat client/team negligence, hostility, or contractor negligence
6. Final Delivery
For system build projects, we will email details containing the final system build within seven (7) business day after final timeline approval. All final payments/outstanding invoices must be received before releasing access to your system build out. All post deliverables (any applicable templates, worksheets, video tutorials) will be found in your client portal for access.
For website development projects, all files that are required for the website to function properly will be uploaded to your server within seven (7) business days after you approve them, and after you’ve paid all our outstanding invoices (if applicable).
7. Changes To The Project Scope
As your business progress so will your processes which you may want to include, if this is applicable to our project timeline, we will do everything we can to accommodate your process(es). Inform us of the changes or additions, as soon as possible via email. If a quote amendment is needed we will provide a separate quote via email to accommodate.
8. Expenses Paid On Your Behalf
If client require subscriptions including a free trial, you are responsible for converting payment information prior to the end of the client’s free trial. We will send email notifications 7 days subscription trial is discontinued
9. Materials Provided By You
“Assets” are exclusive digital materials sent to you for project completion. These assets can be included but not limited to templates, worksheets, video tutorials, and checklists. Once asset(s) is completed by the client, it is now called a “deliverable”.
Where you provide us deliverables in the project, you guarantee that you own your content copy, graphics and other intellectual property or have been given permission in writing to use them.
We (Erica Hood-Vincent, EHV Consultant, LLC, DBA Impact To Increase Agency) will not be financially or legally responsible for the usage of intellectual property of any kind not owned nor permitted for client’s usage.
